Bausch&Lomb and Sanoculis Announce Strategic

We are proud to have represented Bausch + Lomb in leading an equity investment in Sanoculis Ltd. as part of a Series C funding round of $14 million. As part of this transaction, we also had the privilege of working alongside our terrific colleagues at Freshfields Bruckhaus Deringer in putting in place an options agreement, under which Bausch + Lomb obtained an option to purchase all of Sanoculis' assets. Bausch & Lomb corporation is a leading global eye health company dedicated to helping people see better to live better. Sanoculis Ltd. is a medical device start-up company that develops an innovative surgical procedure for the treatment of glaucoma. /The Bausch & Lomb corporation is a global eye health company that helps people see better to live better. Sanoculis Ltd. is a start-up medical device company which develops innovative glaucoma surgery procedures.

Yigal Arnon & Co. represented Shapir Engineering in its acquisition of Supergas' shares of Super NG

Advs. David Schapiro, Eliran Furman and Evyatar Katz represented Shapir Engineering in a transaction for the purchase of the entire shares of Super NG from Supergas. As part of the transaction, Shapir will acquire all of Supergas’ rights in Super NG companies, including shares, owner loans and capital notes owned by Supergas.  
Advs. David Schapiro, Eliran Furman and Evyatar Katz represented Shapir Engineering in a transaction for the purchase of the entire shares of Super NG from Supergas. As part of the transaction, Shapir will acquire all of Supergas’ rights in Super NG companies, including shares, owner loans and capital notes owned by Supergas.

Yigal Arnon & Co. represented Shapir-Orian in receiving funding for the establishment of the IDF logistics project

Advs. David Schapiro, Peter Sugarman, Eliran Furman, Nitzan Kahana, Lior Cohen Goldstein and intern Yaakov Sapir represented a Shapir Civil and Marine Engineering Ltd. and Orian S.M., which together won a tender for the construction of a logistics center for the IDF about a year ago; in a complex multi-party negotiations with the Ministry of Defense and a syndication of lenders, to finance the debt required to establish the project, which included a variety of agreements with contractors and subcontractors in the various fields that are required to establish and operate the project. The financing package for the project includes a debt of approximately NIS 2.2 billion.

Yigal Arnon & Co. represented Shapir in its acquisition 53% of Till 120 sheltered housing network

Advs. David Schapiro, Eliran Furman, Lior Cohen Goldstein and intern Yaakov Sapir represented Shapir Engineering in its acquisition of  53% of Till 120 from The Phoenix at a valuation of NIS 1.35 billion. On completion of the deal, Shapir will hold (directly and indirectly) 53% of Till 120, while The Phoenix will remain with 47%. The two sides will sign a shareholders agreement regulating the relationship between them, giving Shapir control of the company while The Phoenix will have certain minority rights.

Advs. David Schapiro, Eliran Furman, Michael Horowitz, Evyatar Katz and intern Dana Kleiman represented the Israel Infrastructure Fund (2001), in a joint venture alongside the Australian multinational Macquarie Capital, the principal investment arm of Macquarie Group, in partnering with rural superfast broadband expert Voneus Broadband to provide internet infrastructure in rural areas in the United Kingdom.

Yigal Arnon & Co. represented IIF in two complementary transactions

Advs. David Schapiro, Eliran Furman and Vered Glaubach and the intern Eviatar Katz, represented IIF (Israel Infrastructure Fund) which acquired, jointly with Cellcom, 70% of the internet infrastructure company Israel Broadband Corporation (IBC, known as Unlimited). In a complementary transaction, they represented IBC in the acquisition of the fiber-optic infrastructure for internet connection from Cellcom. Moreover, a first of its kind IRU agreement was signed between IBC and Cellcom to provide internet services to the latter's customers.

Advs. David Schapiro, Eliran Furman, Ivor Krumholtz and the intern Evyatar Katz represented the Israel Infrastructure Fund (IIF) in a transaction in which, along with Cellcom, acquired 70% of the fiber optic infrastructure company Unlimited (IBC). The fiber optic infrastructure initiative was set up about 5 years ago in order to revolutionize internet transfer in Israel.
