Yigal Arnon & Co. represented T.S.I. Roads L.P. in a transaction for a sale by Altshuler Shaham, one of the limited partners in T.S.I. , in the sale of its entire stake in T.S.I Roads

 Advocates David Schapiro, Peter Sugarman and Avraham Ben-Tzvi represented T.S.I. Roads L.P., a shareholder in Derech Eretz Highways (1997) Ltd., the concessionaire of the Cross Israel - Highway 6 toll road BOT project, in  a transaction whereby Altshuler Shaham Provident Funds and Pension Ltd., one of the limited partners in T.S.I Roads Limited Partnership (TSI), sold  its entire stake in T.S.I. Roads L.P., representing 6.99% of the interests in T.S.I. Roads L.P., to Keren Hishtalmut Lemorim Tichonim Veseminarim and Keren Hishtalmut Lemorim Vegananot which manage continuing education funds of the Teachers in Israel.  T.S.I. Road Limited Partnership is an Israeli partnership managed by a member of the Israel Infrastructure Fund  group, which manages investments in the field of national infrastructure projects, and  owns 50% of Derech Eretz Highways (1997) Ltd., the concessionaire of the Cross Israel - Highway 6 toll road BOT project.  The completion of the transaction was subject to approval of the senior lenders to the Highway 6 toll road project.

Advocates David Schapiro, Eliran Furman and Avraham ben-Tzvi represented TowerJazz in a credit line agreement with GE Capital to provide TowerJazz’s wholly owned Japanese subsidiary, TowerJazz Japan Ltd, which operates the Nishiwaki, Japan fabrication facility, with a credit line of up to 4 billion Japanese Yen (approximately $50 million).

Yigal Arnon & Co. represented Barclays Capital and HSBC Bank in a $900 million permanent financing transaction with the Tamar Project Partnership

Yigal Arnon & Co. represented and served as Israeli counsel to Barclays Capital and HSBC Bank, which led a consortium of foreign and local banks, in a $900 million permanent financing transaction with the Tamar Project Partnership, a group comprised of some of the main players in the Israeli gas and energy field: Delek Drilling LP, Avner Oil Exploration LP and Dor Gas Explorations LP, towards the financing of the development of the Israeli offshore natural gas exploration with respect to the Tamar project. This is one of the largest and complex project finance transactions that ever took place in Israel, with a unique significance on a national level. The team at Yigal Arnon & Co. was led by advocates Shiri Shaham, Simon Weintraub and Noam Meir.
