Advocates
Gil Oren and
Guy Lachmann led and negotiated a series of complex international financing transactions involving Dutch and Israeli companies in the Habas Group during November, 2013. In three subsequent transactions amounting to a total of over EUR 45 million, entities within the global Habas Group entered into an amendment to the terms of a EUR 55 million bank loan facility with a banking consortium in the Netherlands. These entities have further consummated the separation of Mayer (Kesher) Real Estate Ltd. from its ownership and debt stake in the Habas Group, alongside the sale of shares in NSI N.V. (NSTEc.AS), a Dutch REIT fund traded on the NYSE Euronext stock exchange in Amsterdam. Lastly, the same entities sold additional shares of NSI N.V. to two Israeli institutional investors. Habas Investments (1960) Ltd., a publically traded company in TASE, is currently in court-managed liquidation process. Advocates Gil Oren, Partner at Yigal Arnon & Co., and Guy Gissin of Gissin & Co. were appointed as temporary liquidators by the Israeli Central District Court.
