Advs. David Schapiro, Daniel Marcovici Moshe Pasker represented Telrad Networks Ltd. in its purchase of Mermanet Organization and Project Management Ltd. for NIS 102 million. Telrad was represented in its negotiations with the banks for the purpose of raising NIS 78 million, part of the amount required for the transaction.
Advs. Simon Weintraub, Shiri Shaham and Noam Meir represented Barclays Bank Plc, as arranger, Bank Mizrahi Tefahot, as facility agent and a number of Israeli institutional lenders in a $225 million credit facility to Alon D.A. Gas Explorations Ltd., a wholly owned subsidiary of Dor Gas Explorations Limited Partnership, which among other things will re-finance the credit facility entered into by Alon D.A. Gas Explorations Ltd. in April of 2012 to finance the Tamar offshore gas exploration project.
Advocates David Schapiro and Eliran Furman represented Royal Bank of Canada in a sale of its shareholdings in Tamir Fishman & Co. to Mr. Eldad Tamir – one of the company's largest shareholders. The transaction included the acquisition by Eldad Tamir of most of the remaining shares owned by other shareholders as well.
Yigal Arnon & Co. represented and served as Israeli counsel to Barclays Capital and HSBC Bank, which led a consortium of foreign and local banks, in a $900 million permanent financing transaction with the Tamar Project Partnership, a group comprised of some of the main players in the Israeli gas and energy field: Delek Drilling LP, Avner Oil Exploration LP and Dor Gas Explorations LP, towards the financing of the development of the Israeli offshore natural gas exploration with respect to the Tamar project.
